Mindstate LLC – May 2026 HerbanFlow Sweepstakes Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING.

1. Sponsor: This Sweepstakes is sponsored by Mindstate, LLC. (“Sponsor”).

2. Eligibility: Open to legal residents of the United States who are 18 years of age or older at the time of entry. Void where prohibited by law. Employees of Sponsor and their immediate family members are not eligible.

3. Sweepstakes Period: The Sweepstakes begins on May 29, 2026, and ends on June 6, 2026 (the “Sweepstakes Period”). Sponsor reserves the right to modify these dates at its sole discretion by posting notice of the revised dates on Sponsor’s website or social media channels.

4. How to Enter: During the Sweepstakes Period, participants may enter by performing any one of the following actions:

  • Following @drinkmindstate and @herbanflow on Instagram (one (1) entry)
  • Posting content on Instagram featuring the Sponsor’s product and tagging @drinkmindstate and @herbanflow (one (1) additional bonus entry)]
  • Coming to the Mindstate in store tasting at Herban Flow’s Downtown St Pete Store (501 Dr. Martin Luther King Jr St N, Unit 103, Saint Petersburg, FL 33701) between 2:00-4:00 PM EST and/or Herban Flow  (6848 22nd Ave N. Saint Petersburg, FL 33710) between 5:00-7:00 PM EST on Saturday, June 6, 2026 (one (1) additional bonus entry)]. 

Limit: One (1) entry per person via following, plus one (1) bonus entry for a qualifying tagged post, and plus one (1) bonus entry for in store participation for a maximum of two (3) entries per person. No purchase required.

5. Prize: A total of one (1) prize will be awarded over the Sweepstakes Period. The prize consists of  (i) Two VIP Tickets to High and Dry Festival in (535 4th Ave N St. Petersburg, FL 33701) on July 11, 2026 (approximate retail value: $[91.62]), and (ii) one (1) $50 Herban Flow gift card (approximate retail value: $50.00). Total approximate retail value of all prizes: $[141.62]. Prizes are non-transferable, and no substitution will be made except at Sponsor’s sole discretion.

6. Winner Selection: Winners will be selected by random drawing from all eligible entries received at the end of the Sweepstakes Period on June 6, 2026. Odds of winning depend on the number of eligible entries received.

7. Winner Notification: Winners will be notified via Instagram DM and/or email at the end of the Sweepstakes Period. If a selected winner cannot be located or does not claim the prize by the close of the contest on June [7], 2026, the prize will be forfeited and Sponsor reserves the right to select an alternate winner by random drawing from the remaining eligible entries.

8. General Conditions: By entering, participants agree to:

  • Comply with these Official Rules
  • Allow Sponsor to use their name, likeness, and entry content for promotional purposes without additional compensation, unless prohibited by law

Sponsor reserves the right to cancel, suspend, or modify the Sweepstakes if any fraud, technical failures, human error, or any other factor impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. In such event, Sponsor will select winners from all eligible, non-suspect entries received prior to such cancellation, suspension, or modification.

9. Release: By participating, entrants agree to release and hold harmless Sponsor and its affiliates from any liability arising from participation in the Sweepstakes or acceptance/use of any prize.

10. Platform Disclaimer: This Sweepstakes is not sponsored, endorsed, administered by, or associated with Instagram, TikTok, Meta, X (Twitter), LinkedIn, or YouTube.

11. Privacy: Information collected from entrants will be used in accordance with Sponsor’s privacy policy at https://drinkmindstate.com/pages/privacy-policy. By entering the Sweepstakes, entrants consent to the collection and use of their personal information as described therein.

12. Governing Law: This Sweepstakes and these Official Rules shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.

Any disputes arising out of or relating to this Sweepstakes shall be resolved exclusively in the state or federal courts located within Ohio, and participants consent to the jurisdiction and venue of such courts.
